These Terms of Service ("Terms") govern your use of the Helix data exchange platform ("Service") operated by Helix ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you represent that:

• You are at least 18 years old
• You have the legal authority to enter into these Terms on behalf of yourself or your organization
• You will comply with all applicable laws and regulations

2. Description of Service

Helix provides a secure data exchange platform that enables:

• Data producers to publish and distribute datasets efficiently
• Data consumers to subscribe to and access datasets
• Audit trail, and usage analytics

3. Account Registration and Security

3.1 Account Requirements

• You must provide accurate, complete, and current registration information
• You must maintain the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access or security breach
• You are fully responsible for all activities under your account

4. Fees, Billing, and Payment Terms

4.1 Subscription Fees

We currently only offer the professional tier, $799/month plus infrastructure usage costs. Enterprise custom pricing may be available upon request.

4.2 Payment Terms

• All fees are due upon receipt via automatic charge to your payment method on file
• All amounts are in USD unless otherwise specified
• Late payments may result in account suspension

4.3 Fee Changes

• We may adjust the base platform fee with 30 days' written notice
• Infrastructure usage rates may be adjusted with 30 days' notice
• You may cancel your subscription before any fee increase takes effect

5. Contract Term and Cancellation

5.1 Initial Term

• The initial contract term is twelve (12) months from the service start date
• The contract automatically renews monthly after the initial term unless cancelled

5.2 Cancellation Policy

• You may cancel at any time with thirty (30) days advance written notice via email to support@helix.tools
• Early Termination Fee: If you cancel during the initial 12-month term, you must pay the remaining balance of the full contract term immediately upon cancellation
• Example: If you cancel after 4 months, you must pay the remaining 8 months × $799 = $6,392

5.3 Termination by Helix

We may suspend or terminate your account immediately if:

• You violate these Terms
• You fail to pay fees within 7 days of due date
• You engage in any activity that threatens the security or operation of the Service

5.4 Effect of Termination

• Your access to the platform will be disabled at the end of the notice period
• You remain responsible for all fees incurred up to the termination date
• We will delete your data according to our data retention policy (see Section 11)

6. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to breach, test, or circumvent security measures
• Interfere with or disrupt service operations
• Exceed reasonable usage limits or abuse the platform
• Share, sell, or transfer your account credentials
• Use the service for any illegal or unauthorized purpose
• Reverse engineer or attempt to derive source code

7. User Responsibilities

7.1 Data Producers

• You retain full ownership of all data you upload
• You warrant that you have all necessary rights to share the data

7.2 Data Consumers

• You may only use data according to the applicable license terms
• You must not redistribute data without authorization
• You must comply with all usage restrictions and data protection laws

8. Service Availability and Support

8.1 Service Level

• The Service is provided "as is" without any specific uptime guarantee for the standard tier
• We target 99% monthly uptime excluding scheduled maintenance
• Enterprise SLAs are available with custom agreements

8.2 Support

• Email support is provided during business hours (9 AM - 5 PM PST, Monday-Friday)
• Response time target: 1 business day for professional tier

9. Intellectual Property

9.1 Your Content

• You retain all rights to the data you upload
• You grant us a limited license to store, process, and transmit your data solely to provide the Service

9.2 Our Platform

• Helix retains all rights to the platform, software, APIs, and documentation
• You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted or error-free
• Data will be transmitted without loss or corruption
• The Service will meet all your requirements

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• HELIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM
• THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

11. Data Handling and Security

11.1 Data Retention

• Active Accounts: Data is retained as long as your account is active
• After Termination: Data is deleted within 30 days of account termination
• Legal Holds: We may retain data longer if required by law, legal process, and other obligations or proceedings

11.2 Data Privacy

Your use of the Service is also governed by our Privacy Policy and Data Processing Agreement

12. Indemnification

You agree to indemnify, defend, and hold harmless Helix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or transmit through the Service
• Your use or misuse of the Service

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to attempt to resolve the dispute informally by contacting us at contact@helix.tools

13.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in Vancouver, BC, Canada, under the rules of the Canadian Arbitration Association

13.3 Class Action Waiver

You waive any right to bring claims on a class, consolidated, or representative basis

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles

14.2 Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Helix

14.3 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force

14.4 Amendment

We may modify these Terms with 30 days' notice for material changes. Continued use after changes constitutes acceptance

14.5 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction

14.6 Force Majeure

Neither party shall be liable for delays or failures due to causes beyond their reasonable control
